By accessing and buying any document at the CIU website and/or using any CIU content, you (hereinafter referred to as “You” or the “User”) acknowledge that You have fully read and understood, and agree to be bound by, these Store Terms and Conditions. Both the User and the Competitive Intelligence Unit S.C. (referred as the "Seller”) declare that they will mutually transmit certain confidential information, that is property of each of them, related to written, oral, graphic, visual or information tangible by any of the human senses, or contained in written, electronic or electromagnetic media. This will include, but will not be limited, to: technical, financial and commercial information concerning names of potential customers or partners, business proposals, reports, plans, market projections, data, ideas, concepts, studies, summaries, equipment, programs, statistics, brochures, processes, procedures, policies, systems, regulations, standards, logistics and any other industrial information along with formulas, mechanisms, processes of analysis, working documents, compilations, comparisons, studies or other documents that shall be referred to as "Confidential Information".
The User accepts the legal agreement with the Seller for the use of the Confidential Information available in the "Document" (product on sale through the website) made by The CIU.
The User is bound to keep confidential the information received from the Seller, whether that information has been delivered orally, visually, in writing, recorded on magnetic media or in any other way. The User will not disclose any information to a third party other than its lawyers, whom might need to know such information for a specific authorized purposes, and who must agree to keep such information confidential.
By purchasing the "Document" and acquiring the "Confidential Information", the "User" agrees to be bound by the terms of this agreement and accepts as indicated the terms in the Privacy Notice. Seller's acceptance of the User's order is expressly conditional on the agreement and acceptance by the User of the terms and conditions, together with any of the special terms stipulated by the "Seller" on the "Document" itself, constituting together a final and complete agreement between the parties. The terms and conditions of The CIU herein included, shall govern and prevail regardless of whether the User's purchase order predates other documents. The information contained in the "Document" is protected by copyright laws and international treaties, as well as by other intellectual property laws and treaties. The data contained in the "Document" cannot be stored anywhere other than your own computer. This document cannot be shared or used simultaneously on different computers (PCs, servers, intranets, etc.). By using the research information, you agree to be bound by the terms of this agreement.
Under copyright laws you may install and use a copy of the research data on a single computer. The information may be used for the exclusive use of the individual User. You should treat the electronic version of our research data as any other copyrighted material. The commercialization of the information is not accepted. Under no circumstance should our research and analysis information be copied from the Documents, nor the use of parts of the information to be used in other reports without our prior written permission.
Without bias to any other right, the "User" agrees to take the necessary and appropriate precautions to keep confidential the "Confidential Information" owned by the other party, including, but not limited to, notifying that the information is confidential and should not be disclosed to third parties. In the case where the confidential information is improperly disclosed by the User and therefore the terms established in this agreement are not respected, the "Seller" shall be entitled to compensation for any damages caused to him or caused by the indiscretion of its counterpart, which did not comply with this agreement.
In the event of a judicial proceeding in relation to any matter subject to this "Agreement", the parties hereto irrevocably agree that each case will be trialed or decided by the competent courts of Mexico City, Mexico. In addition, the parties of the agreement irrevocably agree to yield, in a general and absolute manner, to the jurisdiction of any court in relation to such matters and expressly waive any other jurisdiction to which they are entitled by virtue of their present or future domicile or by any other reason. The invalidity, illegality or lack of coerciveness of one or more provisions of this Agreement shall in no way affect the validity and enforceability of other clause of this "Agreement". In any claim, action or procedure between the parties relating to this agreement, The CIU shall be entitled to a reimbursement of all legal fees, expenses and costs.
Acknowledging the parties the content of this "Store Terms and Conditions", they both as User or Seller, accept all at the time of purchasing the Document.
